Amalgamation meeting scheduled for North Kent Mutual

The North Kent Mutual Fire Insurance Company is holding a special general meeting on Sept. 11.

The meeting is for members and will start at 7 p.m. at the Dresden Arena.

The meeting is being held for a couple of reasons:

1) Membership approval is being sought of the Amalgamation Agreement between the Corporation with Kent & Essex Mutual Insurance Company and West Elgin Mutual Insurance Company under the name “Integrity Mutual Insurance Company.” This would take effect January 1, 2015.

2) Membership approval for a general by-law related to the business and affairs of the Amalgamated Corporation, “Integrity Mutual Insurance Company.”

Copies of the Amalgamation Agreement and by-law are posted on the Corporation’s website at www.nkminsurance.com as part of a Member’s Information Package

This “policyholder” package also contains a summary of the reasons for the proposed amalgamation, a business plan for the Amalgamated Corporation, declarations of no distribution by each President and Certificates of each Secretary confirming director approval of the amalgamation.

Copies are also available for review at the Corporation’s offices, 29553 St. George Street, Dresden, ON and will be mailed out to any policyholder who requests such copies.

The Amalgamation Agreement requires the approval of no less tha ntwo thirds of the Members present at the Meeting.

A town hall meeting is set for Aug. 11 where members will have an opportunity to ask questions before the Special General Meeting on September 11

The town hall meeting will be held on Aug. 11 from 6:30 p.m. to 8:30 p.m. at the North Kent Mutual Insurance Processing Office, 399 St. George Street, Dresden, ON
